投标人应具备的资格或业绩：1、投标人必须是所投货物的制造商或制造商直接授权的代理商，若投标人为代理商则需提供制造商出具的授权书，否则其投标将被否决。 如果境外投标人所投货物包含境内部分，则投标人须具备人民币结算能力，否则其投标将被否决。 2、1）关境内投标人须提供以下资质证书的复印件： ①加载统一社会信用代码的营业执照或事业单位法人证书； ②投标货物制造商在有效期内的ISO9001质量管理体系认证证书或其他同等质量体系认证证书； 2）关境外投标人须提供以下资质证书的复印件： ①有效的企业登记证明材料； ②投标货物制造商在有效期内的ISO9001质量管理体系认证证书或其他同等质量体系认证证书。 3、业绩要求： 近5年（2016年1月1日至今），投标货物制造商应具有制造和/或销售本招标要求的同规格或类似设备（不低于本招标要求）的不少于5台的业绩，并同时提供对应的销售合同或销售订单复印件作为证明材料。销售合同或订单的复印件须能体现签订时间，销售产品内容、规格及数量，签章双方等关键信息，否则将被作为无效证明材料。 4、银行资信证明： 1）境内投标人应当提供在开标日前3个月内由其开立基本账户的银行开具的有效行资信证明； 2）境外投标人应当提供在开标日前3个月内由其开户银行开具的有效资信证明。 5、如潜在投标人在以往投标活动中有以下行为，招标人可以将其列入“上飞公司限制采购供应商名单”。若投标人已被列入“上飞公司限制采购供应商名单”，其投标将被否决： (1) 投标供应商在采购过程及中标/成交后合同签订、履约过程中存在下列行为的，经查实后， 可其列入“上飞公司限制采购供应商名单”并在 3 年内限制该供应商参与上飞公司采购工作： a) 非中标/非成交供应商存在挂靠、串标、围标、非法以他人名义投标的行为（被挂靠公司一并纳入限制采购供应商名单）； b) 联系人或参加开标活动人员为非正式员工，并对上飞公司采购进度带来影响的； c) 在采购过程中有恶意诽谤、诬告或陷害其他竞争对手的不良行为； d) 中标/成交后无正当理由不按时签订合同或不按照投标/响应文件约定签订合同的； e) 非中标/非成交供应商提供虚假证件、资质证书、业绩证明等相关材料，没有实际履行能力但承诺商务和技术部分可达到采购要求以骗取中标/成交的虚假应标行为和以其他方式弄虚作假骗取中标/成交的行为； f) 标的产品交付后，多次验收测试不合格的； g) 向公司有关人员馈赠任何礼品，价值低于 200 元（不含），情节较轻的行为； h) 其他违反国家法律、法规或文件相关规定的，情节较轻的行为。 (2) 投标供应商在采购过程及中标/成交后合同签订、履约过程中存在下列行为的，经查实后， 可其列入“上飞公司限制采购供应商名单”并在 5 年内限制该供应商参与上飞公司采购工作： a) 中标/成交供应商存在挂靠、串标、围标、非法以他人名义投标的行为（被挂靠公司一并纳入限制采购供应商名单）； b) 联系人或参加开标活动人员为非正式员工，并对上飞公司带来经济损失的； c) 中标/成交后，非法转包、违约分包、擅自更换项目经理的； d) 合同履约过程中不按照合同要求提交履约保证金、保函或相关凭证的； e) 合同履约过程中擅自变更、终止履约或不按约定履行合同业务的； f) 在履行投标承诺或合同过程中，出现严重质量问题或给公司造成经济损失、安全事故以及不良社会影响的行为； g) 严重违反投标承诺或合同约定，提高价格、降低质量、拖延工期或供货时间的不诚信行为； h) 中标/成交供应商提供虚假证件、资质证书、业绩证明等相关材料，没有实际履行能力但承诺商务和技术部分可达到招标要求以骗取中标/成交的虚假应标行为和以其他方式弄虚作假骗取中标/成交的行为； i) 向公司有关人员馈赠礼品、提供宴请等，价值 200元以上不足 1000元，情节较重的行为； j) 有损害上飞公司利益行为的； k) 其他违反国家法律、法规或文件相关规定的，情节较重的行为。 (3) 投标供应商在采购过程及中标/成交后合同签订、履约过程中存在下列行为的，经查实后， 可其列入“上飞公司限制采购供应商名单”并永久限制该供应商参与上飞公司采购工作： a) 存在商业贿赂行为，如对上飞公司从事采购工作的各类相关工作人员或招标代理机构安排宴请、旅游、健身及其他娱乐活动，赠送礼品、礼金和有价证券等价值超过 1000元以上，无偿或明显低价出售（租赁）、出借车辆、房产等大宗物品，以及其他可能影响上飞公司相关工作人员公正履行职务的行为； b) 被司法部门、各级行政主管部门列入经营异常名录、失信被执行人名单库或严重违法企业名单的； c) 其他违反国家法律、法规或招标文件相关规定的，情节严重的行为。

3.Qualification Requirements For Bidder

Qualifications or Performance：1.The Bidder must be the manufacturer of the proposed goods or the agent authorized directly by the manufacturer. The Bidder shall provide the authorization issued by the manufacturer if it is an agent, otherwise the bid will be rejected. If the bidding goods of the overseas Bidder includes the goods within the territory, the Bidder must be capable of RMB settlement; otherwise, the bidding will be rejected.2. 1) Domestic Bidder shall provide copies of the following qualification certificates: ①Business License or Legal Person Certificate of the Institution with Unified Social Credit Code; ②The goods’ manufacturer Valid certification of ISO9001 quality management system or other similar quality management system certification. 2) The overseas Bidder shall provide copies of the following qualification certificates: ①Valid business registration certificates; ②The goods’ manufacturer Valid certification of ISO9001 quality management system or other similar quality management system certification. 3. Performance Requirements: In the past 5 years (from January 1, 2016 to present), the manufacturer of the bidding goods shall have a performance of manufacturing and/or selling not less than 5 units of the same or similar equipment meeting the requirements of the Tendering Document (not lower than the requirements of the Tendering Document), and also provide a copy of the corresponding sales contracts or sales orders as proof materials. The copies of the Sales Contract or the Order shall be able to reflect the key information, such as the signing time, the sales content, specification and number, as well as the Two Parties, etc., otherwise it will be regarded as invalid proof. 4. Bank reference letter: 1) Domestic bidder shall provide the valid bank reference letter from the bank which the basic account was opened, issued within three months prior to the time of bid opening. 2) Foreign bidder shall provide the valid bank reference letter issued within three months prior to the time of bid opening. 5. If the potential bidder has the following behaviors in previous bidding activities, the Tenderee can include it in the List of Suppliers Restricted by Shanghai Aircraft Manufacturing Co., Ltd (SAMC). If the bidder is listed in the List of Suppliers Restricted by Shanghai Aircraft Manufacturing Co., Ltd (SAMC), its bid will be rejected: (1) If the bidding supplier has the following behaviors in the process of procurement, contract signing and performance after winning the bid/getting a deal, after verification, it shall be listed in the List of Suppliers Restricted by SAMC and limited to participate in the procurement work of SAMC within 3 years: a) Non winning/non successful suppliers have the behaviors of affiliation, collusion, together-conspired bidding and illegal bidding in the name of others (The affiliated companies are also included in the List of Restricted Suppliers); b) The contact person or the person participating in the bid opening activity is an informal employee and affects the SAMC’s procurement schedule; c) Malicious slander, false accusation or framing of other competitors in the procurement process. d) The contract is not signed on time or in accordance with the provisions of the bidding/response documents without proper reasons after winning the bid/getting a deal; e) Non-winning/non-successful suppliers provide false certificates, qualification certificates, performance certificates and other related materials, have no actual ability to fulfill the commercial and technical parts but promise that it can meet the procurement requirements, or in other ways to win the bid/get a deal by deception and fraud; f) The subject product fails to pass the acceptance test for many times after delivery; g) Giving any gift valued at less than 200 yuan to the relevant personnel of SAMC, with minor circumstances; h) Other behaviors in violation of State laws and regulations, and relevant provisions of the document, with minor circumstances; (2) If the bidding supplier has the following behaviors in the process of procurement, contract signing and performance after winning the bid/getting a deal, after verification, it shall be listed in the List of Suppliers Restricted by SAMC and limited to participate in the procurement work of SAMC within 5 years: a) The winner of the bid/successful suppliers have the behaviors of affiliation, collusion, together-conspired bidding and illegal bidding in the name of others (The affiliated companies are also included in the List of Restricted Suppliers); b) The contact person or the person participating in the bid opening activity is an unofficial employee and causes financial loss to SAMC; c) Illegal subcontracting, default subcontracting and changing the project manager without authorization after winning the bid/getting a deal; d) Failing to submit performance bond, letter of guarantee or relevant documents in accordance with the requirements of the contract during performance of the contract; e) Changing without authorization, terminating performance or failing to perform contract business as agreed in the process of performing the contract; f) Serious quality problems occurred or having behaviors that cause economic losses, safety accidents and adverse social impacts to SAMC in the process of fulfilling the bid commitment or contract; g) Serious violation of bid commitment or contract agreement, dishonest behavior of raising price, reducing quality, delaying construction period or delivery time; h) The winner of the bid/successful suppliers provide false certificates, qualification certificates, performance certificates and other related materials, have no actual ability to fulfill the commercial and technical parts but promise that it can meet the bidding requirements, or in other ways to win the bid/get a deal by deception and fraud; i) Giving gifts and banquets valued at more than 200 yuan but less than 1,000 yuan to relevant personnel of SAMC, with serious circumstances. j) Any act that damages the interests of SAMC; k) Other behaviors in violation of State laws and regulations, and relevant provisions of the document, with serious circumstances. (3) If the bidding supplier has the following behaviors in the process of procurement, contract signing and performance after winning the bid/getting a deal, after verification, it shall be listed in the List of Suppliers Restricted by SAMC and permanently restricted to participate in the procurement work of SAMC: a) Having commercial bribery conducts, for example，arranging banquets, tours, fitness and other recreational activities for all kinds of relevant staff or bidding agencies engaged in procurement work of SAMC, or giving gifts, monetary gifts and securities valued over 1,000 yuan, or giving for free, or selling (leasing) and lending vehicles, real estate and other bulk goods at obvious low price, and other behaviors that may affect the fair performance of duties of relevant staff of SAMC; b) Being listed in the list of abnormal operation, the list of dishonest persons to be executed or the list of serious illegal enterprises by the judicial department, administrative departments at all levels; c) Other behaviors in violation of State laws and regulations, and relevant provisions of the document, with serious circumstances.
